01. About SIMCOM
SIMCOM is a specialist AML/CFT and financial crime compliance advisory practice serving regulated institutions in Sri Lanka, including licensed banks and non-bank financial institutions, money or value transfer service providers, insurance companies, fintechs and payment service providers, capital markets intermediaries, restricted dealers, microfinance and leasing companies, designated non-finance businesses and professions, and virtual asset service providers operating outside the scope described in Section 9 below. SIMCOM does not provide public registry lookup services and does not issue regulatory licences, approvals, or certifications on behalf of any regulator.
02. Eligibility
This Website is intended for use by individuals acting in a professional capacity on behalf of a business, institution, or organisation. By using the Website, you confirm that you are at least eighteen (18) years of age and have the authority to engage with SIMCOM on behalf of the entity you represent, where applicable.
03. Nature of Website Content
All content on this Website, including service descriptions, industry commentary, methodology explanations, and any articles, checklists, or insights we publish, is provided for general informational purposes only. While we take reasonable care to keep this content accurate and current, it is necessarily general in nature and does not account for the specific facts, risk profile, or regulatory obligations of any individual institution.
04. No Professional or Regulatory Advice
Nothing on this Website constitutes legal, regulatory, compliance, financial, investment, or other professional advice. You should not rely on Website content as a substitute for tailored advice from a qualified professional, and you should not act, or decline to act, based solely on information found here. Regulatory expectations and enforcement practice change, and only a formal engagement with SIMCOM (see Section 8) allows us to assess your institution's specific circumstances.
05. No Client or Advisory Relationship Formed by Website Use
Browsing this Website, submitting a general enquiry, or requesting an introductory consultation does not, by itself, create a client relationship, an advisory relationship, or any duty of care between you and SIMCOM. A client relationship is formed only once a formal engagement has been agreed in writing, as described in Section 8.
06. Consultation Requests
Requests for introductory consultations or discovery calls submitted through the Website are reviewed on a case-by-case basis. SIMCOM reserves the right to decline any consultation request, including where accepting it would create a conflict of interest (see Section 9), without being obliged to explain its reasoning.
07. Formal Engagements Are Governed Separately
A binding advisory or consulting engagement with SIMCOM begins only once both parties have signed a separate, formal engagement agreement. That agreement — not this Website or these Terms — governs the scope of services, fees, timelines, confidentiality obligations, deliverables, and liability for any specific engagement. Nothing on this Website should be read as an offer to enter into such an engagement on any particular terms.
08. Independence and Conflict of Interest
SIMCOM takes independence seriously. Before accepting any engagement, we review it for actual or potential conflicts of interest, including situations where accepting an engagement could conflict with an existing professional commitment of our team. Engagements are accepted only where our independence review confirms no such conflict exists. This applies in particular to engagements involving virtual asset service providers (VASPs): all VASP-related engagements are subject to this independence review, and SIMCOM does not undertake to accept every VASP enquiry it receives.
09. User Responsibilities
When using this Website, you agree to:
- Provide accurate, current, and truthful information when completing any form, including consultation and contact forms;
- Use the Website only for lawful purposes and in a manner consistent with these Terms;
- Take reasonable steps to protect your own devices and connections, including maintaining up-to-date virus protection, when accessing the Website.
10. Prohibited Uses
You must not use this Website to:
- Breach any applicable local, national, or international law or regulation;
- Transmit malware, viruses, or any other code designed to disrupt, damage, or gain un-authorised access to any system;
- Send unsolicited marketing, spam, or chain communications through the Website's contact channels;
- Attempt to gain un-authorised access to SIMCOM's servers, databases, or any connected systems;
- Harvest, scrape, or otherwise collect personal data of other visitors to the Website.
11. Intellectual Property
All content, design elements, graphics, logos, and materials on this Website are owned by SIMCOM or its licensors and are protected under the intellectual property laws of Sri Lanka and applicable international treaties. Nothing in these Terms grants you any ownership rights in this material.
12. Permitted Use of Website Materials
You may view, download, or print individual pages of this Website for your own internal, non-commercial reference. You may not modify any material you download or print, republish it, or use any image, graphic, or diagram separately from its accompanying text, without our prior written consent.
13. Confidentiality of Information Submitted Through the Website
General website forms and standard email are not secure or confidential channels. Please do not submit sensitive customer data, government identification numbers, financial transaction records, case files, or other confidential material through the Website's general enquiry or consultation forms. Once an engagement is formally agreed, SIMCOM will provide a secure, dedicated channel for the exchange of any confidential or sensitive information.
14. Third-Party Links and Services
This Website may link to third-party websites or resources, including social media pages and scheduling tools, for your convenience. SIMCOM does not control and is not responsible for the content, accuracy, or privacy practices of any third-party website, and inclusion of a link does not imply endorsement.
15. Disclaimer of Warranties
16. Limitation of Liability
17. Indemnification
You agree to indemnify and hold SIMCOM, its principals, employees, and agents harmless from any claim, liability, loss, or expense (including reasonable legal costs) arising from your breach of these Terms or your misuse of the Website.
18. Suspension and Termination of Access
SIMCOM may suspend or restrict your access to the Website, without notice, where we reasonably believe your conduct breaches these Terms or poses a risk to the Website, its users, or SIMCOM's interests.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of Sri Lanka. Any dispute arising from or relating to these Terms or your use of the Website shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.
20. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, applicable law, or operating practices. The current version will always be available on this page, with the applicable Effective Date shown at the top. Continued use of the Website after an update constitutes acceptance of the revised Terms.
21. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
22. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and SIMCOM regarding use of the Website, and supersede any prior understanding relating to the Website. For the avoidance of doubt, these Terms do not override or replace any separate, signed engagement agreement governing an advisory relationship.
